TERMS AND CONDITIONS OF SERVICE

Welcome to Inktrail! These Terms of Service ("Terms") are a legal agreement between you ("User," "you," or "your") and Inktrail OÜ, a private limited company registered in Estonia, with its principal place of business in Tallinn ("Inktrail," "we," "us," or "our").

These Terms govern your access to and use of the Inktrail platform, including all web, desktop, and related applications (collectively, the "Service").

By using the Service, you agree to these Terms. If you do not agree, do not access or use the Service.

The Service is provided on an "as-is" basis, and features may change, improve, or be removed at any time. You should not rely on any particular feature or workflow.

1. DEFINITIONS AND SCOPE OF SERVICE

1.1 The Services

Inktrail provides AI-assisted software applications, web interfaces, and related tools designed for document creation, analysis, and collaboration (collectively, the "Services"). We are constantly working to develop and improve our Services; therefore, we reserve the right to modify, enhance, or discontinue specific features or functionalities at any time without prior notice.

1.2 Content

For the purposes of these Terms:

"Input" refers to any text, files, data, or other information you upload or provide to the Services.

"Output" refers to the text, data, structural suggestions, or other content generated by our integrated artificial intelligence models in response to your Input.

"Content" collectively refers to both Input and Output.

1.3 Project Containers

"Project Container" refers to the organizational unit within the Services where Users may store Content and manage collaborator permissions. We may change how Content is saved, organized, or stored within these containers as the product evolves.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

2.1 Account Creation

To access our Services, you must register for an account. You agree to provide accurate, complete, and current information during the registration process. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You may not share your account or make it available to any third party without our prior written consent.

2.2 Authority

If you create an account or use the Services on behalf of another person or entity, you represent and warrant that you have the authority to bind that person or entity to these Terms.

2.3 Minimum Age

You must be at least 13 years old, or the minimum age required in your country, to consent to use the Services. If you are under 18, you must have your parent or legal guardian's permission to use the Services.

2.4 Global Access and Compliance

While Inktrail is an Estonian entity, we provide the Services to a global user base. You are responsible for ensuring that your access to and use of the Services complies with all applicable local, state, national, and international laws and regulations in your jurisdiction.

3. USE OF THE SERVICES AND CONTENT

3.1 Usage Rights

Subject to your compliance with these Terms, Inktrail grants you a non-exclusive, non-transferable right to access and use the Services. You agree to use the Services only for lawful purposes and in a manner that does not infringe the rights of others.

3.2 Nature of AI Output

You acknowledge that the Services utilize artificial intelligence and machine learning technologies. Due to the probabilistic nature of these technologies, Output may be inaccurate, incomplete, or may not reflect real-world facts. Inktrail does not guarantee the accuracy, reliability, or quality of any Output.

3.3 User Responsibility for Content

You are solely responsible for all Content. You must:

  • Evaluate all Output for accuracy and appropriateness for your specific use case before relying on, saving, or publishing it.
  • Use human review as appropriate to ensure the Output meets your requirements.
  • Ensure that your use of the Content does not violate any applicable law or these Terms.

3.4 Reliance on Output

You should not rely on Output as a sole source of truth or as a substitute for professional advice. Inktrail disclaims all liability for any actions taken or not taken based on Output generated by the Services.

3.5 Prohibited Uses

You may not use the Services to:

  • Represent that Output was human-generated when it was not.
  • Use Output to develop models that compete with Inktrail or our underlying model providers.
  • Circumvent any rate limits or security measures of the Services.

4. DATA USAGE AND AI TRAINING

4.1 Input and Data Processing

By providing Input to the Services, you grant Inktrail a worldwide, non-exclusive license to host, store, and process your Content solely to provide and improve the Services. This processing involves sending your Input to third-party AI model providers (such as OpenAI, Anthropic, or Meta) for real-time response generation. These providers are selected based on their enterprise-grade data protection standards.

4.2 AI Training Policy

Inktrail does not currently use your User-Generated Content to train its own proprietary AI models. We process your data only to fulfill specific requests during your active session.

4.3 Future Policy Changes

As our technology and the AI industry evolve, we may introduce features that allow users to voluntarily opt-in to sharing data for model improvement. No such training using your data will occur without your express, documented consent or a material update to these Terms provided with advance notice.

4.4 Use of Aggregated Data

We may collect and use usage data (such as interaction counts, file creation counts, and performance metrics) to enforce plan limits and monitor the health of our Services. This data is used in an aggregated, de-identified manner that does not reveal your specific Content.

5. INTELLECTUAL PROPERTY RIGHTS

5.1 Inktrail Ownership

Inktrail OÜ and its affiliates own all rights, title, and interest in and to the Services, including but not limited to software code, interface designs, proprietary algorithms, workflows, branding, name, and logos. Your use of the Services does not grant you any ownership of the Services or the content made available through them.

5.2 Ownership of Content

You retain all ownership rights in the Input you provide to the Services. You represent and warrant that you have all necessary rights and permissions to provide such Input.

As between you and Inktrail, and to the maximum extent permitted by applicable law, you own the Output generated in response to your Input. Inktrail hereby assigns to you all its right, title, and interest, if any, in and to such Output.

5.3 Similarity of Content

You acknowledge that due to the nature of machine learning, Output may not be unique across users. Other users may provide similar Input and receive the same or similar Output. Our assignment of ownership in Section 5.2 does not extend to other users' output or any third-party content.

5.4 License to Inktrail

By using the Services, you grant Inktrail a limited, worldwide, non-exclusive license to host, store, and process your Content for the purposes of providing, maintaining, and improving the Services and complying with applicable law.

6. COLLABORATION AND PUBLIC CONTENT

6.1 Collaboration Features

The Services may allow you to invite other users to access your Project Containers or specific files. You are solely responsible for the permission levels you grant and for any actions taken by your collaborators. We reserve the right to modify or restrict collaboration features, including sharing limits and permission types, at any time.

6.2 Public Sharing

If you use the Services to generate public links or otherwise share Content outside of your account, you do so at your own risk. You acknowledge that public viewers may access, copy, or further distribute any Content you make available through these features.

6.3 Public Knowledge Base

If you choose to publish Content to a community gallery or "Public Knowledge Base," you grant other users a non-exclusive license to access and use that Content as context for their own workflows. Once Content is published publicly, Inktrail cannot guarantee its removal from the workflows of other users who have already interacted with it.

6.4 Feature Evolution

We may change how projects are organized, shared, or published as we develop the Services. We are not obligated to maintain specific sharing or "saving" workflows if we determine that updates are necessary for the security or improvement of the platform.

7. SUBSCRIPTION, BILLING, AND PAYMENTS

7.1 Subscription Model

Access to certain features of the Services requires a paid subscription. We offer various subscription tiers with different usage limits and features. We reserve the right to change our subscription plans or adjust pricing at any time. For any price increases to existing subscriptions, we will provide you with at least 30 days' notice.

7.2 Payments and Taxes

You must provide accurate and complete billing information. Payments are processed via third-party providers, and by subscribing, you authorize us to charge your payment method on a recurring basis. As an Estonian company, we apply VAT where required by EU law. All payments are non-refundable except where required by law.

7.3 Usage Limits and Enforcement

We collect usage data to enforce the limits of your selected plan. If you exceed your plan's limits or fail to maintain a valid subscription, we may restrict or suspend your access to certain AI-assisted features or other parts of the Services.

7.4 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, you will continue to have access to the paid features until the end of your current billing period.

8. ACCEPTABLE USE AND CONDUCT

8.1 Prohibited Activities

You agree not to use Inktrail for any illegal, harmful, or abusive activity. Specifically, you may not:

  • Rights Infringement: Use the Services in a way that infringes, misappropriates, or violates anyone's rights, including intellectual property or privacy rights.
  • System Interference: Interfere with or disrupt the Services, circumvent rate limits, or bypass any protective measures or safety mitigations we have in place.
  • Reverse Engineering: Attempt to decompile, reverse-engineer, or discover the source code or underlying components of our Services, including our models, algorithms, or proprietary workflows.
  • Automated Scraping: Automatically or programmatically extract data or Output from the Services, or use bots and scripts to interact with the interface without our prior written consent.
  • Deceptive Representation: Represent that Output was human-generated when it was not.
  • Competitive Use: Use the Services or Output to develop models, products, or services that compete with Inktrail.

8.2 Content Standards

You may not use the Services to generate content that promotes violence, illegal acts, or any material that is otherwise prohibited by our policies or applicable law.

8.3 Enforcement

We reserve the right to investigate any violation of this section and may suspend or terminate your account immediately if we determine, in our sole discretion, that your use of the Services poses a risk to Inktrail, our users, or any third party.

9. PRIVACY AND DATA PROTECTION

9.1 Privacy Policy

Your privacy is important to us. Our data processing practices are governed by our Privacy Policy, which is incorporated by reference into these Terms. While the Privacy Policy is a separate document, it explains how we collect and use your personal information and is an essential part of your agreement with us.

9.2 GDPR Compliance

Inktrail processes personal data in accordance with the General Data Protection Regulation (GDPR) and other applicable data protection laws. We collect limited personal information, such as your email address and usage preferences, to provide, maintain, and improve our Services.

9.3 Data Security

We implement industry-standard security measures to protect your Content and personal information. However, given the nature of the internet and evolving technologies, we cannot warrant that any Content will be entirely secure or free from loss or alteration.

9.4 Use of Third Parties

You acknowledge that we use third-party AI providers and subprocessors to deliver the Services. These third parties are selected for their compliance with high data protection standards, but they are subject to their own terms and privacy policies.

9.5 Communications

By creating an account, you agree that we may send you service-related notifications and updates regarding changes to these Terms or our Services.

10. DISCLAIMERS AND LIMITATIONS OF LIABILITY

10.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, INKTRAIL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ACCURATE, OR ERROR-FREE, OR THAT ANY OUTPUT WILL BE SECURE OR NOT LOST OR ALTERED.

10.2 Use at Your Own Risk

YOU ACCEPT AND AGREE THAT ANY USE OF OUTPUT FROM OUR SERVICE IS AT YOUR SOLE RISK. YOU WILL NOT RELY ON OUTPUT AS A SOLE SOURCE OF TRUTH OR FACTUAL INFORMATION, OR AS A SUBSTITUTE FOR PROFESSIONAL ADVICE. INKTRAIL IS NOT LIABLE FOR ANY ERRORS, OMISSIONS, OR "HALLUCINATIONS" PRODUCED BY THE AI.

10.3 Limitation of Liability

NEITHER INKTRAIL NOR ITS AFFILIATES OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.4 Liability Cap

IN NO EVENT SHALL INKTRAIL'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO INKTRAIL FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM; OR (B) ONE HUNDRED EUROS (€100).

11. TERMINATION AND DATA RETENTION

11.1 Termination by You

You may stop using the Services and delete your account at any time through your account settings. Upon deletion, your right to access the Services will cease immediately.

11.2 Termination by Inktrail

We reserve the right to suspend or terminate your access to the Services, or any portion thereof, at our sole discretion, with or without notice, for reasons including but not limited to:

  • A breach of these Terms or any incorporated policies.
  • Non-payment of applicable subscription fees.
  • Your use of the Services in a way that poses a security risk or legal liability to us or our third-party providers.
  • Technical or commercial reasons that make providing the Services no longer viable.

11.3 Effect of Termination

Upon termination of your account:

  • Content Access: You may lose access to all Input and Output. We have no obligation to maintain or provide you with a copy of your Content after termination, except as required by law.
  • All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11.4 Data Deletion and Retention

While we provide tools for you to delete your Content, you acknowledge that certain metadata or anonymized usage data may remain in our systems as part of standard logs or for legal and compliance purposes. We are not liable for the deletion of, or the failure to store, any Content.

12. GOVERNING LAW AND DISPUTE RESOLUTION

12.1 Governing Law

These Terms and your use of the Services are governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of laws principles.

12.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or in connection with these Terms, or the breach, termination, or invalidity thereof, shall be settled by the Harju County Court in Tallinn, Estonia, as the court of first instance. We encourage you to contact us informally before filing a claim, and we will attempt to resolve the matter through good-faith negotiations.

12.3 Equitable Relief

You acknowledge that any breach of these Terms related to our Intellectual Property (Section 5) or Acceptable Use (Section 8) may cause irreparable harm for which monetary damages are insufficient, and Inktrail shall be entitled to seek injunctive or equitable relief in any court of competent jurisdiction.

13. MODIFICATIONS TO TERMS

13.1 Right to Amend

We reserve the right to modify or update these Terms at any time to reflect changes in the law, our data practices, or the evolution of our Services (including feature removals or improvements).

13.2 Notification of Changes

If we make material changes, we will notify you by posting the updated Terms on our website and updating the "Effective Date." For users with paid subscriptions, we may also provide notice via email.

13.3 Continued Use

Your continued use of the Services after the effective date of any changes constitutes your binding acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Services and delete your account.

14. MISCELLANEOUS

14.1 Entire Agreement

These Terms constitute the entire agreement between you and Inktrail regarding the Services and supersede all prior agreements or understandings.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14.3 Export Controls

You agree to comply with all applicable export and sanctions laws. You may not use the Services if you are located in a sanctioned country or listed on a restricted parties list.
